Terms of Service

2.2 Prohibited Activities

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable local, national, or international law
• Scrape, crawl, or systematically extract data or content from the Site without prior written consent
• Submit false, misleading, or fraudulent information in any inquiry or order form
• Attempt to gain unauthorized access to any portion of the Site or its related systems
• Transmit any viruses, malware, or other harmful code through the Site
• Reproduce, duplicate, or resell any part of the Site's content without express written permission

2.3 Accuracy of Information

Product images, specifications, and descriptions on the Site are provided for general reference only. Actual product dimensions, materials, and finishes are subject to the specifications agreed upon in your individual purchase order or manufacturing agreement. We reserve the right to correct any errors or inaccuracies on the Site at any time.

3.2 Specifications & Design Responsibility

For OEM orders (Client-provided designs), the Client bears full responsibility for the accuracy, completeness, and legality of all provided drawings, specifications, and reference samples. Fengtuo Industry will manufacture to the agreed specifications and is not liable for defects arising from errors in Client-supplied designs.

For ODM orders (Fengtuo-developed designs), design ownership terms will be specified in the individual manufacturing agreement. Minor design adjustments and revisions are subject to our standard revision policy communicated at the time of quotation.

3.3 Sampling & Prototype Approval

Pre-production samples ("prototypes") are produced at agreed sampling fees unless otherwise negotiated. The Client must provide written approval of samples before mass production commences. Fengtuo Industry is not liable for mass production deviations if production proceeds without documented sample approval. Approved samples serve as the quality benchmark for production.

3.4 Payment Terms

Standard payment terms are 30-50% deposit prior to production commencement and the remaining balance prior to or upon shipment, unless otherwise agreed in writing. All payments are non-refundable once production has commenced unless Fengtuo Industry is in material breach of the agreed specifications. Payment currency and method will be specified in each purchase order.

3.5 Lead Times & Delivery

Lead times quoted are estimates based on current production capacity and order complexity. Fengtuo Industry will make reasonable efforts to meet agreed delivery schedules. We are not liable for delays caused by circumstances beyond our reasonable control, including but not limited to raw material shortages, logistics disruptions, force majeure events, or delays caused by the Client's failure to provide timely approvals or information.

3.6 Minimum Order Quantities

Minimum Order Quantities (MOQs) vary by product type, material, and complexity. MOQs are specified in individual quotations. We accommodate small-batch prototyping and trial orders; however, unit pricing for quantities below standard MOQ may be adjusted accordingly.

3.7 Quality & Inspection

All products undergo our standard quality control process including incoming material inspection, dimensional verification, surface finishing inspection, and final pre-shipment inspection. Clients may arrange third-party inspection at their own cost with prior written notice. Any quality claims must be submitted in writing within fourteen (14) days of receipt of goods, accompanied by photographic evidence and a detailed description of the non-conformance.

4.2 Client-Provided Designs

When a Client provides drawings, designs, specifications, or other proprietary materials for OEM manufacturing, the Client represents and warrants that they are the rightful owner of such materials or have obtained all necessary rights and licenses. The Client grants Fengtuo Industry a limited, non-exclusive license to use such materials solely for the purpose of fulfilling the manufacturing order. Fengtuo Industry will not reproduce, disclose, or use Client designs for any other purpose.

4.3 ODM Design Ownership

Designs, tooling, molds, and processes developed by Fengtuo Industry for ODM projects remain the intellectual property of Fengtuo Industry unless a specific IP transfer agreement is executed in writing and the applicable development and tooling fees are paid in full. Exclusive design rights may be negotiated and will be documented in the individual manufacturing agreement.

4.4 Third-Party IP Compliance

The Client is solely responsible for ensuring that products ordered do not infringe upon any third-party patents, trademarks, copyrights, or other intellectual property rights. Fengtuo Industry reserves the right to decline any order that we reasonably believe may constitute IP infringement.

5.2 Force Majeure

Fengtuo Industry shall not be liable for any delay or failure to perform obligations under these Terms if such delay or failure results from causes beyond our reasonable control, including natural disasters, acts of government, war, civil unrest, labor disputes, epidemics, pandemics, supply chain disruptions, or other force majeure events. We will provide prompt written notice of any such event and use reasonable efforts to resume performance as soon as practicable.

5.3 Indemnification

The Client agrees to indemnify, defend, and hold harmless Fengtuo Industry and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the Client's use of the Site; (b) any breach of these Terms by the Client; (c) any infringement of third-party intellectual property rights resulting from Client-provided designs or specifications; or (d) the Client's downstream use, resale, or distribution of manufactured products.

6.2 NDA Execution

For projects involving sensitive designs, proprietary technology, or high-value intellectual property, Fengtuo Industry is willing to execute a formal Non-Disclosure Agreement (NDA) prior to the sharing of detailed specifications. Clients may request an NDA by contacting us through the information provided in Section 10.

6.3 Portfolio & Reference Use

Fengtuo Industry may use general descriptions of manufacturing capabilities demonstrated through completed orders for marketing purposes. We will not display Client-specific product images, brand names, or proprietary designs in our portfolio without explicit written consent from the Client.

7.2 Restricted Products

Fengtuo Industry reserves the right to decline orders for products that may be subject to export restrictions, sanctions, or that may violate applicable laws in the destination country. The Client must disclose the intended end use and destination of all products at the time of inquiry.

7.3 Anti-Bribery & Anti-Corruption

Both parties agree to conduct all business activities in compliance with applicable anti-bribery and anti-corruption laws, including the U.S. Foreign Corrupt Practices Act (FCPA), the UK Bribery Act, and relevant Chinese laws and regulations. Neither party will offer, pay, or accept any improper payments in connection with the business relationship.

7.4 Material Safety & Regulatory Standards

Fengtuo Industry manufactures products using Colored Laminated Wood, G10, carbon fiber, resin, and metal materials in accordance with standard manufacturing practices. The Client is responsible for verifying that the materials and products comply with the regulatory standards applicable in their target market, including but not limited to REACH, RoHS, CPSC, or other relevant product safety regulations.

8.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof, the parties shall first attempt to resolve the dispute through good-faith negotiation within thirty (30) days of written notice of the dispute. If the parties are unable to resolve the dispute through negotiation, the dispute shall be submitted to arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its arbitration rules.

8.3 Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
